Terms of Service

Welcome to Benadep! These Terms of Service (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you,” “Buyer,” or “Seller/Vendor”), and Benadep concerning your access to and use of the Benadep B2B e-commerce platform. By creating an account or transacting on the platform, you unconditionally accept these commercial terms.

Part I: General Platform Terms (Applies to All Users)

1. B2B Account Registration & Eligibility

  • Benadep is an exclusive wholesale marketplace catering solely to business entities. It is not intended for retail consumer use.
  • To register, you must be at least 18 years of age and hold a valid business license, EIN, or professional cosmetology/nail technician license.
  • You are solely accountable for securing your login credentials and overseeing all transactional activities executed under your company profile.

2. Intellectual Property & DMCA Takedown Protocol

  • User Representation: Every user uploading stock images, text, brand identifiers, or product designs to Benadep explicitly represents and warrants that they possess the necessary licensing, distribution rights, and legal permissions. Sourcing unoriginal content or listing unauthorized knock-offs of established brands (e.g., OPI, DND, Gelish) is strictly prohibited.
  • Reporting Violations: If you are an intellectual property owner and believe that any material listed on Benadep infringes upon your copyright or trademark, please submit an official Notice of Infringement to our legal department via legal@benadep.com. Your notice must contain: the IP owner’s signature, identification of the infringed work, the exact product URL(s) on Benadep, and your direct contact information.
  • Platform Action: Upon receiving a verified DMCA or trademark notice, Benadep will act swiftly to restrict access or temporarily remove the disputed listing within 48 business hours.
  • Repeat Infringer Policy:Benadep enforces a strict “Three-Strike Rule.” Users who accumulate three verified instances of copyright or trademark piracy will face permanent termination of their digital account, accompanied by a forfeiture of pending platform payouts to settle legal liabilities.

3. Prohibited Marketplace Practices

We maintain a zero-tolerance policy toward marketplace manipulation. The following activities will trigger immediate, permanent account suspension without prior notice:

  • Deploying unauthorized scripts, scraping tools, or bots to harvest pricing and listing data.
  • Engaging in shill bidding or creating fraudulent orders to artificially manipulate the Top Sale leaderboard or review metrics.
  • Initiating malicious, unverified chargebacks or engaging in payment fraud.

4. Transactional Limitation of Liability

  • Benadep operates as a multi-vendor marketplace platform facilitating transactions between independent wholesale distributors (Sellers) and commercial salons (Buyers).
  • Benadep does not assume structural liability for manufacturing anomalies, cosmetic shelf-life discrepancies, or sudden shipping delays engineered by external carriers (UPS/FedEx).
  • Under no circumstances shall Benadep be held liable for any indirect, incidental, or consequential business losses (including lost salon revenue or operational downtime) arising from the use of products purchased on the platform.

5. Governing Law and Dispute Resolution

These Terms and your relationship with Benadep shall be governed by, construed, and enforced in accordance with the laws of the State in which Benadep’s corporate headquarters is legally registered, without regard to conflict of law principles. Any legal disputes shall be settled exclusively within the designated courts of said jurisdiction.

Part II: Buyer Terms & Conditions (Applies to Wholesale Buyers)

1. Commercial Pricing, Wholesale Tiers, and Sales Tax

  • All prices displayed on Benadep are baseline wholesale rates, excluding shipping fees and applicable state sales taxes.
  • Tiered Pricing: Prices are subject to volume adjustments. The exact cost of a variant is dictated by the specific volume threshold or structural product combo rules met at the exact time of checkout.
  • Tax Exemption: To bypass state sales tax on wholesale purchases intended for resale, Buyers must upload a validated, up-to-date Resale Certificate matching their home state.

2. Special Return Logic for Product Bundles & Combos

  • If you purchased items as part of a promotional Product Bundle or Custom Combo, we highly recommend returning the entire bundle together to receive a full refund.
  • If a single variant inside a bundle is defective and returned individually, your refund will not be based on the standalone retail value. Instead, the refund will be automatically calculated on a Pro-rata basis(proportionately distributed according to the bundle’s total discounted price).

Part III: Vendor Marketplace Terms (Applies to Wholesale Sellers)

1. Commission Structure, Fees, and Settlement Cycles

  • Platform Marketplace Fee: Benadep deducts a standard transaction fee/commission (configured during your onboarding process) on the gross subtotal of every fulfilled order.
  • Payout Settlement: Payout balances are accumulated and cleared to your linked business bank account via ACH transfer on a rolling T+5 business day settlement cycleafter the corresponding carrier validates the package as “Delivered.”
  • Refund Clawbacks:Any pro-rata refunds computed from approved buyer returns or partial bundle adjustments will be directly deducted from the Vendor’s upcoming payout distribution pool.

2. Product Compliance & Hazmat Mandates (MSDS Requirement)

  • Safety Documentation: The salon industry routinely utilizes robust chemical compounds (such as absolute Acetone, acrylic monomers, and primer liquids). Vendors are legally obligated to supply accurate Material Safety Data Sheets (MSDS) or Safety Data Sheets (SDS) for all hazardous and liquid stock.
  • Hazmat Shipping Liability: Vendors must pack hazardous products strictly adhering to U.S. Department of Transportation (DOT) shipping laws. If a shipment is seized, destroyed, or penalized by courier inspectors due to missing chemical declarations or poor packaging, the Vendor assumes 100% financial liability and must fully reimburse the Buyer and the platform.

3. Service Level Agreements (SLA) for Order Fulfillment

To maintain premium platform trust, all B2B Vendors must adhere to the following strict fulfillment timelines:

  • SLA 1 - Tracking Input: A valid carrier tracking number (UPS, FedEx, or USPS) must be generated and logged into the system within 48 hours of order creation.
  • SLA 2 - Carrier Scan: Physical parcel hand-off to the logistics carrier must occur within 72 hours of order placement.
  • Failure to consistently meet these operational SLAs will lead to temporary listing deactivation or loss of premium placement visibility on the Featured search ranks.
